Welcome to ZipOps. These Terms of Service ("Terms") govern your access to and use of the software, services, and websites (collectively, the "Service") provided by ZipOps LLC ("ZipOps", "we", "us", or "our"), a Colorado limited liability company. By registering for or using our Service, you agree to be bound by these Terms.

1. Account and Subscriptions

ZipOps provides business management software offered on a subscription basis. We currently offer two paid subscription tiers:

• Pro Tier: Priced at $49.99 per month, this tier includes standard access to business management, scheduling, and invoicing features for small teams.
• Enterprise Tier: Priced at $149.00 per month, this tier provides advanced reporting, cross-tenant dispatching, and unlimited API integrations for scaling businesses.

Your subscription will automatically renew at the end of each billing cycle unless you cancel your account prior to the renewal date. We reserve the right to modify our pricing, but will provide you with at least 30 days notice of any pricing changes.

2. Acceptable Use

You agree not to misuse the Service. Specifically, you agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service, related systems, or networks.
• Upload or transmit any malicious code, viruses, or harmful files.
• Use the Service to send unsolicited promotional emails or spam.

3. Intellectual Property

The Service, including its original content, features, functionality, and software architecture, is owned by ZipOps LLC and is protected by international copyright, trademark, and other intellectual property laws. You retain full ownership of all business data, customer lists, and content you upload to the Service.

4. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ZipOps LLC, its directors, employees, partners, or suppliers be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; or (iii) unauthorized access, use or alteration of your transmissions or content.

5. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. ZipOps LLC expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.
